This End-User License Agreement ("Agreement") governs the use of the IRIS Invoice Bridge integration between IRIS (Iron River Intelligence System) and QuickBooks Online ("IRIS Invoice Bridge" or the "Software"). The Software is owned and operated by Iron River Logistics Group LLC ("Iron River", "we", "us", or "our").
IRIS Invoice Bridge is an internal tool used only by Iron River and its authorized personnel. It is not a public consumer application.
Iron River grants its employees, contractors, and other authorized personnel ("Users") a limited, non-exclusive, non-transferable license to use IRIS Invoice Bridge solely for Iron River's internal business purposes, including:
No other rights are granted. Users may not resell, sublicense, or otherwise provide IRIS Invoice Bridge to any third party outside Iron River without written permission.

Any attempt to access or use the Software in an unauthorized manner is strictly prohibited.
IRIS Invoice Bridge connects to QuickBooks Online and may connect to other internal or third-party systems. Use of those services remains governed by their own terms and policies.
Iron River does not guarantee the availability or performance of any third-party service, including QuickBooks Online. Interruptions or errors in those services may impact the Software.
IRIS, IRIS Invoice Bridge, and all related code, workflows, documentation, and configurations are the exclusive property of Iron River Logistics Group LLC, subject to any rights retained by third-party vendors (including Intuit and QuickBooks).
Users obtain no ownership interest in the Software.
IRIS Invoice Bridge is provided "as is" and "as available." To the fullest extent permitted by law, Iron River disclaims all warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, and non-infringement.
Iron River does not warrant that the Software will be error-free or uninterrupted, or that all defects will be corrected.
To the fullest extent permitted by law, Iron River shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or relating to the use or inability to use the Software, even if advised of the possibility of such damages.
Iron River's total aggregate liability for direct damages arising from the Software shall not exceed the amount of direct costs reasonably attributable to the specific incident, subject to any limitations required by applicable law.
Users must handle any data accessed through IRIS Invoice Bridge in accordance with Iron River's confidentiality and security policies. This includes customer information, financial information, and operational data.
Unauthorized disclosure or misuse of such data may result in disciplinary action and/or legal consequences.
Iron River may suspend or terminate a User's access to IRIS Invoice Bridge at any time, with or without notice, for:
Upon termination, Users must immediately cease all use of the Software.
Iron River may update IRIS Invoice Bridge or this Agreement from time to time. When we make material changes, we will update the "Last updated" date above. Continued use of the Software after changes are posted constitutes acceptance of the revised Agreement.
